- Acquisitions and dispositions of dozens of medical device businesses, physician practice management businesses, home healthcare businesses, pharmacy networks and other health care businesses by and to private and public companies.
- Acquisitions of groups of gas station/convenience stores by Chicago-based buyer; sale out of bankruptcy (through auction to separate buyers) of approximately 600 gas station/convenience stores.
- Sales of micro-leasing and bank security equipment businesses to strategic buyers; acquisitions of various ingredient and flavoring businesses by U.S. subsidiary of Dutch dairy cooperative.
- Representation of cable television company in public spin-off transactions, including multiple mergers and liquidations and tender offers for, and redemptions and defeasances of, public securities.
- Various restructurings for private finance company; multiple joint ventures, in various forms, between dairy product companies; merger of pharma-economics company with public buyer (and subsequent stock repurchase).
- Public offerings of Senior Notes, Senior Debentures, and Credit Card Pass Through Certificates for various public companies.
- Representation of various underwriters in several public offerings and shelf registration of Debentures of Comcast Corporation; representation of Kleinwort Benson Limited, as stockholder, in initial public offering and follow-on offering of Common Stock of Bell Sports Corp; various mezzanine financings for acquisitions and many start-up private offerings of common or preferred stock.
